These Terms of Service (these "Terms") constitute a legally binding agreement between you ("you" or "your") and Intra Capital Ventures LLC, doing business as IntraAlpha ("IntraAlpha," "we," "us," or "our"), governing your access to and use of the IntraAlpha website located at intraalpha.com and all related services, applications, tools, application programming interfaces ("APIs"), data, content, and features (collectively, the "Service").
IMPORTANT: PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. BY CREATING AN ACCOUNT OR CLICKING "I AGREE" (OR A SIMILAR AFFIRMATION) DURING REGISTRATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT CREATE AN ACCOUNT OR USE THE SERVICE.
By using the Service, you also consent to the use of electronic records and electronic signatures in connection with these Terms and your use of the Service, in accordance with the U.S. Electronic Signatures in Global and National Commerce Act ("E-SIGN Act") and applicable state laws governing electronic transactions.
1. ELIGIBILITY
You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction if greater, to access or use the Service. By using the Service, you represent and warrant that you meet the foregoing eligibility requirements and that you have the legal capacity to enter into these Terms. If you are accessing or using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and all references to "you" shall include that entity.
2. ACCOUNT REGISTRATION AND SECURITY
2.1 To access certain features of the Service, you must create an account by providing a valid email address and completing the registration process. Your account is tied to the email address you provide at registration.
2.2 You are responsible for maintaining the confidentiality of any sign-in codes, access credentials, API keys, or other authentication mechanisms associated with your account. You agree to notify us immediately at info@intraalpha.com if you become aware of any unauthorized use of your account or any other breach of security.
2.3 You are solely responsible for all activity that occurs under your account, whether or not you have authorized such activity. IntraAlpha will not be liable for any loss or damage arising from your failure to safeguard your account credentials.
2.4 You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate, current, and complete.
2.5 The Service may offer the option to register or sign in using third-party social media accounts (such as Facebook, X/Twitter, or Google) ("Social Login"). If you choose to register or sign in using Social Login, we will collect certain information from the social media provider as described in our Privacy Policy. You are responsible for the security of your social media accounts. IntraAlpha is not liable for any loss or damage arising from unauthorized access to your account through a compromised Social Login.
3. DESCRIPTION OF THE SERVICE
3.1 IntraAlpha provides a market research and analytics platform offering, among other things, options chain data, liquidity-based screening tools, volatility surface visualization, trade idea generation, model portfolio weightings (such as "NTRA weights"), credit-spread backtesting tools (such as "Credit Lab"), company coverage and analysis, heatmaps, watchlists, charts, reports, educational courses and materials (including the Options Trading Course), community features, and programmatic access through APIs (collectively, the "Content"). The scope, features, and availability of the Service may change from time to time in our sole discretion.
3.2 The Service includes optional integrations that allow you to import data from third-party brokerage accounts (such as Fidelity, Wealthfront, and Robinhood), including but not limited to positions, orders, fills, and trade history ("Brokerage Data"). Your use of these integrations is subject to the terms in Section 10 below.
3.3 The Service may include partnerships, co-marketing arrangements, or affiliate relationships with third parties (such as tastytrade). These relationships may involve promotional content, referral links, or integrated features. Any such third-party relationship does not constitute an endorsement by IntraAlpha of the third party's products, services, or investment approach, and does not alter the disclaimers in Section 4.
4. NO INVESTMENT, FINANCIAL, LEGAL, OR TAX ADVICE
4.1 IntraAlpha Is Not a Financial Professional. IntraAlpha is not registered as an investment adviser with the U.S. Securities and Exchange Commission ("SEC") or any state securities regulatory authority. IntraAlpha is not registered as a broker-dealer with the SEC or the Financial Industry Regulatory Authority ("FINRA"). IntraAlpha is not a certified financial planner, licensed financial adviser, tax professional, or accounting firm. No person employed by, associated with, or contracted by IntraAlpha is acting in any such capacity when providing the Service. No fiduciary relationship, advisory relationship, or relationship of trust or confidence is created between you and IntraAlpha by virtue of your use of the Service.
4.2 Content Is Informational Only. The Service and all Content provided through it — including but not limited to reports (such as the "Best Options Report"), trade ideas, screener results, charts, rankings, model portfolio weightings, credit-spread backtesting results, volatility surfaces, company coverage pages, heatmaps, community commentary, and educational materials — are for general informational, educational, and research purposes only. Nothing provided through the Service constitutes, or is intended to constitute, a recommendation, solicitation, or offer to buy or sell any security, option, or other financial instrument, or personalized investment advice, financial advice, legal advice, tax advice, or accounting advice tailored to your particular financial situation, investment objectives, or risk tolerance.
4.3 Model Portfolio and Weightings. The Service may display model portfolio weightings, position allocations, or similar hypothetical constructs (collectively, "Model Portfolios"). Model Portfolios are hypothetical illustrations for research and educational purposes only. They do not constitute a recommendation to buy, sell, or hold any specific security. Model Portfolios do not take into account your individual financial situation, investment objectives, risk tolerance, tax status, or liquidity needs. IntraAlpha does not assess the suitability or appropriateness of any security, strategy, or allocation for any individual user. You should not rely on Model Portfolios as a basis for making investment decisions without conducting your own independent research and consulting with a qualified, licensed financial professional.
4.4 Backtesting and Hypothetical Results. The Service may provide tools that allow you to construct and test investment strategies using historical data (such as "Credit Lab"). Backtested and hypothetical performance results have inherent limitations. They are generated with the benefit of hindsight, do not reflect actual trading, do not account for all factors that would affect real-world execution (including but not limited to market impact, slippage, transaction costs, margin requirements, and liquidity constraints), and are not indicative of future results. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown in any backtested or hypothetical result. Past performance — whether actual or backtested — is not indicative of future results.
4.5 Your Responsibility. You acknowledge and agree that all investment decisions are made solely by you and at your own risk. You should consult with qualified, licensed professionals regarding any investment, legal, tax, or financial matters before making decisions based on information obtained through the Service.
5. MARKET DATA AND INFORMATION DISCLAIMERS
5.1 Proprietary Data Processing. IntraAlpha uses a proprietary approach to consume equity, options, and other market data from multiple public and commercial sources available at the time of processing. The prices, values, and data points displayed through the Service (collectively, "Market Data") are derivatives of these sources, generated through IntraAlpha's own computational processes. Market Data displayed on the Service does not constitute a direct republication or redistribution of any exchange feed, market data vendor feed, or other single authoritative data source. IntraAlpha does not represent or warrant that the Market Data displayed corresponds to, or is sourced directly from, any particular securities exchange, market data provider, or regulatory data source.
5.2 Equity and Options Pricing. Equity prices displayed through the Service are derived from publicly available information and commercial data services. IntraAlpha endeavors to display the National Best Bid and Offer ("NBBO") or comparable pricing as promptly as possible; however, you should not rely on any price displayed through the Service as a real-time quotation. All pricing data should be considered indicative and potentially delayed. IntraAlpha is not a registered securities exchange, alternative trading system, or data vendor, and does not guarantee that any displayed price reflects the current market price at the time of viewing. For time-sensitive trading decisions, you should consult your broker's own trading platform or an authoritative market data source.
5.3 Public Information and Company Data. Certain information displayed through the Service, including company fundamentals, financial statements, SEC filings, earnings data, and similar corporate information, is derived from publicly available sources such as regulatory filings and public disclosures. IntraAlpha makes no representation or warranty as to the accuracy, completeness, or timeliness of such information.
5.4 No Guarantee of Accuracy. All Market Data is provided on an "as is" basis. IntraAlpha does not independently verify, and makes no representation or warranty as to, the accuracy, completeness, timeliness, reliability, or fitness for any particular purpose of any Market Data. Market Data may be delayed, inaccurate, incomplete, or contain errors. You should not rely solely on Market Data from the Service for time-sensitive trading decisions.
5.5 Third-Party Data Providers. IntraAlpha obtains raw data inputs from various third-party commercial data services. IntraAlpha is not responsible for errors, omissions, interruptions, or delays in data provided by such third parties. IntraAlpha's relationship with data providers is that of a customer consuming a service, not a redistributor of their feeds.
5.6 Derived Data and Analytics. Rankings, scores, screening results, volatility calculations, and other derived analytics produced by the Service are generated by IntraAlpha's proprietary algorithms and methodologies. These outputs reflect computational processing of available data and are not representations of fact. They may contain errors, reflect stale data, or produce misleading results under certain market conditions. IntraAlpha makes no warranty that its analytical tools, algorithms, or derived outputs are error-free or suitable for any particular investment decision.
5.7 No Professional Status of Community Members. The Service may include community features, discussion forums, Discord channels, or other interactive areas where users can share commentary, trade ideas, "trade cards," or other content. IntraAlpha does not represent that any user, community member, contributor, or participant in any community feature is a licensed investment adviser, broker-dealer, financial analyst, or other financial professional. Community content reflects the personal opinions of individual users and does not represent the views of IntraAlpha. You should not construe any community content as professional financial advice or as a recommendation to buy, sell, or hold any security.
6. ACKNOWLEDGMENT OF MARKET AND TRADING RISKS
6.1 Trading in securities, options, and other financial instruments involves substantial risk of loss and is not suitable for all investors. You may lose some or all of your invested capital. Past performance of any security, strategy, or financial instrument is not indicative of future results.
6.2 Options trading involves special risks, including but not limited to: the risk that options may expire worthless; the risk of losses exceeding the initial investment in certain options strategies; and the risk associated with the use of leverage. You should read and understand the Options Clearing Corporation's publication "Characteristics and Risks of Standardized Options" before engaging in any options trading activity.
6.3 You are solely responsible for your own research, due diligence, risk management, order placement, position sizing, and portfolio decisions. IntraAlpha does not and cannot evaluate the suitability of any particular security or strategy for your individual financial situation.
7. SUBSCRIPTIONS, BILLING, AND PAYMENT
7.1 Certain features of the Service are available only through paid subscription plans. By selecting a paid plan, you agree to pay all applicable fees in accordance with the pricing and billing terms presented to you at checkout.
7.2 All payment processing is handled by our third-party payment processor, Stripe, Inc. ("Stripe"). Your use of Stripe's services is subject to Stripe's terms of service and privacy policy. Payment card details are collected and processed directly by Stripe and are not stored by IntraAlpha.
7.3 Subscriptions renew automatically at the end of each billing period (monthly or annually, as applicable) until canceled. You may cancel your subscription at any time through your account settings or by contacting info@intraalpha.com; however, cancellation will take effect at the end of the then-current billing period. No refunds will be issued for partial billing periods, except (a) where otherwise required by applicable law (including but not limited to the European Union's 14-day cooling-off period for digital services under Directive 2011/83/EU, and similar protections under Australian Consumer Law and UK consumer protection law), or (b) at IntraAlpha's sole discretion.
7.4 IntraAlpha reserves the right to modify subscription pricing, plan features, and plan availability. We will provide at least thirty (30) days' advance notice of any pricing increase, by email to the address associated with your account or by prominent notice within the Service. Any pricing changes will take effect at the start of your next billing period following such notice. Your continued use of the Service after the effective date of a pricing change constitutes your acceptance of the new pricing.
8. INTELLECTUAL PROPERTY AND CONTENT OWNERSHIP
8.1 All Content, features, functionality, interfaces, software, text, data, analytics, rankings, derived data, trade names, trademarks, service marks, logos, and other intellectual property displayed on or through the Service are owned by IntraAlpha or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
8.2 Subject to your compliance with these Terms, IntraAlpha grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and Content for your personal, non-commercial research purposes only.
8.3 You may not, without our prior written consent: (a) reproduce, distribute, publicly display, publicly perform, or create derivative works of any Content; (b) scrape, crawl, index, or use automated means to access or collect Content or data from the Service except through the API in accordance with Section 11; (c) redistribute, resell, sublicense, or otherwise make the Content available to any third party; or (d) remove, alter, or obscure any copyright, trademark, or other proprietary notices.
8.4 Third-party data displayed through the Service remains subject to the terms and conditions of the applicable third-party data providers. Your use of such data is governed by those terms in addition to these Terms.
9. USER CONDUCT
You agree that you will not:
(a) use the Service for any purpose that is unlawful or prohibited by these Terms;
(b) attempt to gain unauthorized access to any portion of the Service, any systems or networks connected to the Service, or any IntraAlpha server;
(c) use any robot, spider, scraper, or other automated means to access the Service or collect Content without our prior written consent, except through the API in accordance with Section 11;
(d) interfere with or disrupt the integrity or performance of the Service or the data contained therein;
(e) impersonate any person or entity or misrepresent your affiliation with any person or entity;
(f) engage in any activity that could damage, disable, overburden, or impair the Service;
(g) use the Service to transmit any malicious code, viruses, or other harmful materials;
(h) present yourself or any information obtained through the Service as professional investment advice, or hold yourself out as a licensed investment adviser, broker-dealer, or other financial professional in connection with the Service; or
(i) use the Service, Content, or Market Data to construct or operate a competing product or service.
10. BROKERAGE DATA INTEGRATIONS
10.1 Optional Integrations. The Service may allow you to connect third-party brokerage accounts (such as Fidelity, Wealthfront, or Robinhood) to import your Brokerage Data into the Service. These integrations are entirely optional and initiated solely by you.
10.2 No Affiliation. IntraAlpha is not affiliated with, endorsed by, or sponsored by Fidelity Investments, Wealthfront Corporation, Robinhood Markets, Inc., or any other brokerage firm. All third-party brokerage names and marks are the property of their respective owners. The availability of any integration does not imply a partnership, endorsement, or other relationship.
10.3 Your Brokerage Data. You retain ownership of your Brokerage Data. By connecting a brokerage account, you grant IntraAlpha a limited, non-exclusive license to access, import, store, process, and display your Brokerage Data solely for the purpose of providing the Service to you. IntraAlpha will not sell your Brokerage Data or share it with third parties except as described in our Privacy Policy or as necessary to provide the Service.
10.4 Accuracy and Liability. IntraAlpha does not guarantee the accuracy, completeness, or timeliness of Brokerage Data imported from third-party sources. Brokerage Data may be delayed, incomplete, or contain errors introduced during the import process or by the third-party provider. IntraAlpha shall not be liable for any trading losses, tax reporting errors, or other damages arising from inaccuracies in imported Brokerage Data. You should verify all imported data against your official brokerage statements.
10.5 Termination and Deletion. Upon termination of your account or disconnection of a brokerage integration, IntraAlpha will delete your Brokerage Data within thirty (30) days, unless retention is required by applicable law or for legitimate business purposes such as security, fraud prevention, or dispute resolution. You may request deletion of your Brokerage Data at any time by contacting info@intraalpha.com.
11. API AND PROGRAMMATIC ACCESS
11.1 API Access. IntraAlpha may provide access to certain features and data through application programming interfaces (the "API"). Your use of the API is subject to these Terms, any applicable API documentation, and any additional terms presented to you when you obtain API credentials.
11.2 API Keys. You are responsible for all activity conducted using your API keys. You must keep your API keys confidential and must not share them with unauthorized third parties. IntraAlpha may revoke your API keys at any time, with or without cause.
11.3 Rate Limits and Restrictions. API access is subject to rate limits, usage quotas, and other restrictions as specified in the API documentation or communicated to you by IntraAlpha. You may not circumvent or attempt to circumvent any rate limits or access restrictions.
11.4 Permitted Use. Unless you have obtained a separate commercial license from IntraAlpha, API access is limited to personal, non-commercial use. You may not use the API to build, train, or operate a competing product or service, or to redistribute data obtained through the API to third parties.
11.5 Machine-Readable Endpoints. IntraAlpha may publish machine-readable endpoints (such as llms.txt or similar files) for consumption by AI agents, large language models, or other automated systems ("Agent Endpoints"). Agent Endpoints are provided for informational purposes only and are subject to all of the disclaimers in Sections 4, 5, and 6 of these Terms. IntraAlpha shall not be liable for any decisions, outputs, recommendations, or actions taken by any AI system, automated agent, or derivative application that consumes data from the Service, including through Agent Endpoints. Operators of AI systems that access the Service are responsible for ensuring that their systems do not present IntraAlpha Content as professional financial advice.
12. COMMUNITY FEATURES AND USER-GENERATED CONTENT
12.1 Community Features. The Service may include community features such as Discord servers, discussion forums, comment sections, trade-idea sharing, trade cards, ticker prompts, or other interactive functionality ("Community Features"). Participation in Community Features is voluntary and subject to these Terms.
12.2 User-Generated Content. By posting, submitting, or transmitting any content through Community Features ("User Content"), you grant IntraAlpha a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and otherwise exploit such User Content in connection with the Service.
12.3 No Endorsement. IntraAlpha does not endorse, verify, or guarantee the accuracy, completeness, or reliability of any User Content. You acknowledge that User Content reflects the personal opinions of individual users and may be inaccurate, misleading, or harmful. IntraAlpha is not responsible for any investment decisions, losses, or damages arising from your reliance on User Content.
12.4 Content Moderation. IntraAlpha reserves the right, but has no obligation, to monitor, edit, or remove any User Content at any time and for any reason, including content that violates these Terms or that IntraAlpha determines, in its sole discretion, is objectionable, harmful, or potentially misleading.
12.5 DMCA. If you believe that any content on the Service infringes your copyright, please submit a notice of claimed infringement to info@intraalpha.com containing the information required by the Digital Millennium Copyright Act (17 U.S.C. § 512). IntraAlpha will respond to valid notices in accordance with the DMCA.
13. FEEDBACK
If you submit or provide any ideas, suggestions, feature requests, comments, or other feedback regarding the Service ("Feedback"), you hereby grant IntraAlpha a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and otherwise exploit such Feedback for any purpose without restriction, attribution, or compensation to you.
14. MODIFICATIONS TO THE SERVICE
IntraAlpha reserves the right to modify, suspend, discontinue, or limit any aspect of the Service at any time, with or without notice, including but not limited to features, data sources, Content, user accounts, API access, integrations, and access levels. Such actions may be taken for any reason, including for security, licensing, maintenance, regulatory, or product development reasons. IntraAlpha will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service.
15. THIRD-PARTY SERVICES AND LINKS
The Service may contain links to or integrations with third-party websites, services, or resources, including but not limited to brokerage platforms, social media platforms (such as Discord and X/Twitter), market data providers, payment processors, advertising networks, affiliate marketing programs, and retargeting platforms. IntraAlpha does not endorse, control, or assume any responsibility for the content, privacy policies, or practices of any third-party websites or services. Your interactions with third-party services are solely between you and such third parties, and IntraAlpha will not be responsible or liable for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such content, goods, or services.
16. DISCLAIMER OF WARRANTIES
THE SERVICE, ALL CONTENT, ALL MARKET DATA, ALL MODEL PORTFOLIOS, ALL BACKTESTED RESULTS, AND ALL COMMUNITY CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INTRAALPHA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WITHOUT LIMITING THE FOREGOING, INTRAALPHA MAKES NO WARRANTY THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY DATA, CONTENT, MARKET DATA, OR INFORMATION OBTAINED THROUGH THE SERVICE WILL BE ACCURATE, RELIABLE, COMPLETE, OR CURRENT; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) THE SERVICE IS SUITABLE FOR USE AS THE BASIS FOR ANY INVESTMENT DECISION.
17. LIMITATION OF LIABILITY
17.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INTRAALPHA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF INTRAALPHA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
17.2 WITHOUT LIMITING THE FOREGOING, INTRAALPHA SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, INVESTMENT LOSSES, LOST PROFITS, TAX LIABILITIES, REGULATORY PENALTIES, DATA ERRORS, BROKERAGE DATA INACCURACIES, SERVICE INTERRUPTIONS, OR DAMAGES ARISING FROM DECISIONS MADE USING THE SERVICE OR IN RELIANCE ON ANY CONTENT, MARKET DATA, MODEL PORTFOLIOS, BACKTESTED RESULTS, OR COMMUNITY CONTENT.
17.3 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF INTRAALPHA FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO INTRAALPHA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
18. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless IntraAlpha and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights, including intellectual property rights; (e) any User Content you submit, post, or transmit through the Service; (f) any investment decisions you make based on information obtained through the Service; or (g) your use of any API or Agent Endpoint.
19. GOVERNING LAW AND DISPUTE RESOLUTION
19.1 These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
19.2 Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation within thirty (30) days shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules (or, if the AAA determines the Consumer Arbitration Rules are inapplicable, its Commercial Arbitration Rules). The arbitration shall be conducted by a single arbitrator. The hearing may be conducted by videoconference or, if an in-person hearing is required, at a location reasonably convenient to both parties (which may include your county of residence within the United States). Judgment on the arbitral award may be entered in any court of competent jurisdiction.
19.3 You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against IntraAlpha.
19.4 Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidentiality obligations.
20. EXPORT CONTROLS AND SANCTIONS
You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services, and that you are not identified as a "Specially Designated National" by the Office of Foreign Assets Control ("OFAC") or placed on the U.S. Commerce Department's Denied Persons List. You agree to comply with all applicable U.S. and international export control and sanctions laws and regulations in connection with your use of the Service.
21. TERMINATION
21.1 You may terminate your account at any time through your account settings or by contacting us at info@intraalpha.com. Termination of your account does not relieve you of any obligation to pay accrued fees.
21.2 IntraAlpha may suspend or terminate your account or access to the Service at any time, with or without cause and with or without notice, including if we reasonably believe that you have violated these Terms.
21.3 Upon termination, your right to access and use the Service will immediately cease. All API keys associated with your account will be revoked. Your Brokerage Data will be deleted in accordance with Section 10.5.
21.4 Sections 4, 5, 6, 8, 9, 10.3, 10.4, 12.2, 13, 16, 17, 18, 19, 20, and 22 shall survive termination of these Terms.
22. GENERAL PROVISIONS
Entire Agreement. These Terms, together with the Privacy Policy and any other legal notices or policies published by IntraAlpha on the Service, constitute the entire agreement between you and IntraAlpha with respect to the Service and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Waiver. The failure of IntraAlpha to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by IntraAlpha.
Assignment. You may not assign or transfer these Terms or your rights or obligations hereunder, in whole or in part, without the prior written consent of IntraAlpha. IntraAlpha may assign these Terms without restriction. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties and their respective successors and permitted assigns.
Force Majeure. IntraAlpha shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, labor disputes, governmental action, internet or infrastructure failures, or third-party service outages.
Amendments. IntraAlpha reserves the right to modify these Terms at any time by posting updated Terms on the Service and, for material changes, providing notice by email to the address associated with your account at least fifteen (15) days in advance. Your continued use of the Service following the effective date of revised Terms constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically.
Notices. IntraAlpha may provide notices to you by posting on the Service, by email to the address associated with your account, or by other reasonable means. You may provide notices to IntraAlpha by emailing info@intraalpha.com.
Headings. The section headings in these Terms are for convenience only and have no legal or contractual effect.
